Terms of Service

1. Acceptance of Terms

By accessing or using the HTMLtoWP service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not use the Service. We reserve the right to update these Terms at any time; continued use of the Service after changes constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

3. User Responsibility

By using our Service, you represent, warrant, and agree that:

  • You are solely responsible for the content, code, and files you submit to HTMLtoWP
  • You own or have obtained all necessary rights, licenses, and permissions for all content and code submitted
  • You will not submit any content that infringes on any third-party intellectual property rights, trade secrets, or proprietary rights
  • You are responsible for ensuring your content complies with all applicable local, national, and international laws and regulations
  • You will not use the Service for any unlawful, fraudulent, or harmful purpose
  • You will not attempt to reverse-engineer, decompile, or extract the source code of the Service itself

4. Prohibited Uses

You may not use the Service to:

  • Submit content containing malware, viruses, or any malicious code
  • Convert websites or designs you do not have authorization to reproduce
  • Create themes that impersonate other brands, organizations, or individuals
  • Distribute or resell the conversion service itself or systematically bulk-convert themes for commercial resale without written permission
  • Submit content that is defamatory, obscene, or promotes illegal activities
  • Circumvent or attempt to circumvent any access controls, rate limits, or security measures

5. Service Scope and Payment Terms

What You're Paying For:

  • The HTML to WordPress conversion process — Our proprietary technology and automated conversion service
  • Generated PHP theme files — The WordPress theme structure files (header.php, footer.php, index.php, functions.php, style.css, etc.)
  • AI-assisted refinement — Chat-based modifications to the generated theme

User-Generated Content (UGC): All uploaded assets are considered User-Generated Content:

  • Images, photos, graphics — We do not charge for, own, or control these files
  • Fonts and typography files — These remain your responsibility and property
  • CSS stylesheets — When uploaded separately, these are your content
  • Any other assets — All uploaded files are solely under your ownership and responsibility

All prices are in US Dollars (USD) unless otherwise stated. Payments are processed via third-party payment providers; we do not store your payment card details.

6. AI-Generated Output Disclaimer

Important: Portions of the generated WordPress theme — including PHP template code, CSS modifications, and chat-based refinements — are produced or modified by automated systems including artificial intelligence. While we strive for high-quality output:

  • AI-generated code is provided "as is" with no guarantee of correctness, security, or fitness for any particular purpose
  • You are solely responsible for reviewing, testing, and validating all generated code before deploying it in any environment
  • We make no warranty that AI-generated output is free from errors, vulnerabilities, or unintended behavior
  • You assume all risk associated with deploying AI-generated code on production websites

7. Copyright and Intellectual Property

Important Notice: We are not responsible for any copyright infringement or intellectual property claims related to your submitted content. You represent and warrant that:

  • You have the legal right to use, reproduce, and transform all submitted content and files
  • Your use of the Service does not violate any third-party copyrights, trademarks, patents, or other proprietary rights
  • You have obtained all necessary licenses for third-party content (images, fonts, icons, JavaScript libraries, CSS frameworks, etc.)
  • You are solely responsible for resolving any copyright disputes or intellectual property claims that arise from your content
  • You will comply with all applicable open-source license requirements for any third-party code included in your submission

8. Copyright Takedown (DMCA) Procedure

If you believe that content processed through our Service infringes your copyright or intellectual property rights, you may submit a takedown notice to support@htmltowp.com including:

  • A description of the copyrighted work you believe has been infringed
  • The URL or description of the content you believe is infringing
  • Your contact information (name, email, phone number)
  • A statement that you have a good-faith belief that the use is not authorized by the copyright owner
  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf
  • Your physical or electronic signature

We will review valid takedown requests and take appropriate action, which may include removing generated content and suspending the responsible user's access. We reserve the right to terminate accounts of repeat infringers.

9. Service Availability

We do not guarantee that the Service will be available at all times or without interruption. We may modify, suspend, or discontinue the Service (or any part of it) at any time, temporarily or permanently, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

10. Service Limitations and Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • The compatibility of converted themes with all WordPress versions, plugins, or server configurations
  • The functionality and compatibility with any third-party plugins, themes, or services
  • The performance, security, or reliability of converted themes on any hosting environment
  • Uninterrupted or error-free operation of the Service
  • The accuracy or completeness of any generated code or converted output

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HTMLtoWP AND ITS OPERATORS, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • Any direct, indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, business opportunities, or goodwill
  • Any damages resulting from the use, inability to use, or deployment of converted themes
  • Any loss of data or content during the conversion process
  • Any third-party copyright claims, legal disputes, or regulatory actions
  • Any damages arising from unauthorized access to or alteration of your content
  • Any damages resulting from bugs, errors, or vulnerabilities in generated code

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID TO HTMLtoWP IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless HTMLtoWP, its operators, affiliates, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service or any generated output
  • Your submitted content or any intellectual property claims related thereto
  • Your violation of these Terms or any applicable law or regulation
  • Your deployment of converted themes on any website or server
  • Any third-party claims resulting from your use of the Service

13. Data Retention and Deletion

  • Submitted content and generated themes are stored temporarily for the purpose of providing the Service
  • We may retain conversion data for up to 7 days after the last interaction to allow you to resume your session
  • We reserve the right to delete uploaded content and generated files at any time after the conversion is complete and the theme has been downloaded
  • We do not guarantee long-term storage of your content — you are responsible for downloading and backing up your theme promptly
  • Anonymized, aggregated usage data may be retained indefinitely for service improvement purposes

14. Refund Policy

We offer a 30-day money-back guarantee under the following conditions:

  • The refund request must be made within 30 days of purchase
  • The Service must not have been used to convert multiple themes under the same purchase
  • The refund request must be submitted through our support email
  • Refunds will be processed within 20 business days via the original payment method
  • We reserve the right to deny refund requests that appear fraudulent or abusive

15. Content Ownership

  • You retain all rights to your original content submitted to the Service
  • We do not claim ownership of your submitted content or uploaded assets
  • You grant us a limited, temporary, non-exclusive license to process your content solely for the purpose of providing the Service
  • You are solely responsible for maintaining backups of your content
  • The generated WordPress theme structure and PHP template code are licensed to you for unlimited use upon purchase

16. Termination

We reserve the right to suspend or terminate your access to the Service at any time, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including but not limited to Limitation of Liability, Indemnification, and Governing Law) shall survive.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to conflict-of-law principles. Any disputes arising from these Terms or the use of the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the competent courts located in Israel.

18. Force Majeure

HTMLtoWP shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, riots, government actions, pandemic or epidemic, power or internet outages, failure of third-party services (including AI providers, hosting providers, payment processors, and cloud infrastructure), cyberattacks, or any other force majeure event. During such events, our obligations under these Terms are suspended for the duration of the event.

19. Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate as a plaintiff or class member in any purported class action, collective action, or representative proceeding against HTMLtoWP. If this waiver is found to be unenforceable, then the entirety of the dispute resolution provision (other than this waiver) shall be null and void.

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HTMLtoWP regarding your use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
